The Site is operated by AiFi Foundation(“AiFi”, “we”, “us”, or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not use the Site.

If you use any associated Web3 application, protocol, or decentralized smart contracts (collectively, the “Web3 Services”), your use may also be subject to additional terms, protocol documentation, or disclaimers presented to you within those products.

2. Eligibility

You may use the Site only if:

1. You are at least the age of majority in your jurisdiction;

2. You are legally capable of entering into a binding contract;

3. Your use of the Site complies with all applicable laws and regulations.

We may restrict access to the Site from certain jurisdictions if required by law, regulation, or risk management.

- AiFi’s products, protocols, and roadmap;

- Web3, blockchain, and digital asset–related features;

- Some Web3 Services may be experimental, non-custodial, and decentralized.

- Interacting with blockchain networks carries inherent technical and financial risks, including loss of digital assets.

- Information on the Site is provided for general informational purposes only and does not constitute financial, investment, legal, tax, or other professional advice.

You are solely responsible for any decisions you make based on information or tools provided through the Site.

4. Non-Custodial and Wallet Connections

If the Site or related Web3 interfaces allow you to connect a digital wallet:

1. You remain solely responsible for safeguarding your wallet, private keys, seed phrases, and access credentials.

2. We do not have access to, and cannot recover, your private keys or assets.

3. When you sign a transaction, you interact directly with one or more blockchain networks; such transactions are generally irreversible once confirmed.

4. We are not responsible for any loss of digital assets resulting from your use of your wallet, blockchain networks, or smart contracts.

5. No Investment, Legal, or Tax Advice

Nothing on the Site constitutes or should be interpreted as:

- Investment advice or a recommendation to buy, sell, or hold any token, NFT, or digital asset;

- Legal, tax, accounting, or other professional advice;

- An offer, solicitation, or recommendation to engage in any transaction or strategy.

You should conduct your own research and consult independent professional advisors before making any financial, legal, or tax decisions related to digital assets.

6. User Responsibilities and Prohibited Conduct

When using the Site, you agree not to:

1. Violate any applicable law, regulation, or order of any governmental authority;

3. Upload, transmit, or distribute malware, harmful code, or security exploits;

You may not, without our prior written consent:

Copy, modify, distribute, sell, lease, or sublicense any part of the Site;

Reverse engineer, decompile, or attempt to extract the source code of any software underlying the Site (except where allowed by applicable law);

Use our trademarks, logos, or brand elements in a way that suggests endorsement or partnership without permission.

8. Third-Party Links and Protocols

The Site may include links, plugins, or interfaces to:

- Third-party wallets, exchanges, or NFT marketplaces;

- Third-party smart contracts and DeFi protocols.

Such third-party resources are not under our control. We do not endorse or assume responsibility for:

- Their content, accuracy, or policies;

- Their security, availability, or performance;

- Any loss or damage arising from your use of them.

Your use of third-party services is at your own risk and subject to their own terms and privacy policies.

9. Disclaimers

To the fullest extent permitted by law, the Site and any information or tools provided on it are offered on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind—express, implied, or statutory.

We specifically disclaim any warranties of:

- Merchantability, fitness for a particular purpose, and non-infringement;

We do not guarantee the security or proper functioning of any blockchain network, smart contract, or third-party service you may access through the Site.

10. Limitation of Liability

To the maximum extent allowed by law:

1. AiFi, and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or in connection with your use of the Site or any linked Web3 Services.

2. Our total aggregate liability for any claim arising out of or relating to the Site or these Terms will not exceed the greater of:

- The amount (if any) you paid to us specifically for use of the Site in the twelve (12) months preceding the event giving rise to the claim; or

- USD 100 (or equivalent in local currency).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not fully apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless AiFi Foundationand its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

- Your use of the Site or any Web3 Services you access via the Site;

- Your violation of these Terms;

- Your violation of any applicable law or third-party right.

12. Changes to the Site and Terms

We may update, modify, or discontinue any part of the Site at any time.

We may also update these Terms from time to time. When we do, we will change the “Last updated” date at the top of this document and, where required by law, provide additional notice.

By continuing to use the Site after updated Terms are posted, you agree to be bound by the revised Terms.

13. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or your use of the Site shall be governed by and construed in accordance with the laws of Cayman Islands, without regard to conflict of law principles.

Any disputes shall be subject to the exclusive jurisdiction of the courts located in Cayman, unless applicable law requires otherwise.
